Corporate and commercial counsel
to join our professional and highly respected legal team.
Legal Department
The legal department of our client is located at the European headquarters in Brabant and contains 1 Senior Business Counsel, 5 specialized counsels, 1 Dir. Government Relations & Public Affairs and 2 legal administrators.
Your responsibilities
- In cooperation with the tax and finance teams, in-house and outside lawyers of our client as well as notaries and company secretaries, handle all aspects of the corporate formalities involved with general corporate maintenance and corporate transactions, including acquisitions, divestitures and corporate reorganizations. This includes the drafting of relevant documentation (e.g. articles of association, resolutions, powers of attorney), providing general corporate law advice, managing outside lawyers in various European jurisdiction, liaising with other personnel of our client in affiliated businesses, registration and filing of corporate documents, controlling costs and effectively organizing and maintaining databases.
- Contribute to and drive completion of discrete company or business-wide corporate projects such as tax planning, inter-company agreements, real estate and lease matters, corporate risk and compliance assessments.
- Provide effective legal support for the sales organization, including the drafting and negotiation of transactional documents, such as sales, development, secrecy, distributor and agency agreements. Working with the sales force, the lawyer will play a key role in increasing the efficiency of our European contracting process and driving business-wide legal initiatives related to pricing, rebates and standard terms and conditions.
We are looking for:
A dynamic and enthusiastic personality with a passion to perform in a challenging and continuously changing environment. A service oriented mentality with a great team spirit and a ‘can-do' attitude, and;
- A law degree from a university in the Netherlands;
- 2 to 4 years experience working in a law firm or as a corporate/commercial lawyer;
- Excellent English and Dutch language skills (oral and written);
- Excellent organization skills with attention to detail, a willingness to learn and grow and a high degree of reliability and accountability;
- A keen business sense and an ability to provide practical, succinct and action-oriented legal advice;
Lawyers qualified in other continental jurisdictions are encouraged to apply as well, if they have substantial legal work experience in the Netherlands.
